MEP Value Engineering Inc’s independent contractor agreement

Highly Responsive MEP Value Engineers

This is an independent contractor agreement and is a legally binding contract between MEP Value Engineering Inc herein known as the Company and an individual (a self-employed individual or business) hired to perform a specific task or project herein known as the independent contractor or simply contractor.


Compensation (PTO)

1.0. Compensation may be by bid for each individual project, or by an ongoing hourly rate as presented in the custom offer letter to supplement these Policies.


1.1. Each Independent Contractor will have an additional five (5) Paid Time Off (PTO) days after January 1st each year. PTO does not carry over from year to year. Rate of pay for PTO is based on the average numbers of hours worked per week. Independent Contractors are immediately entitled to our Holiday Policy as follows; 

· The office will be closed from Christmas Eve until and including New Year's Day (January 1).

· The office will be closed the week including Independence Day - July 4

· Presidents Day (Washington's Birthday) - Third Monday in February

· Memorial Day - Last Monday in May

· Labor Day - First Monday in September

· Thanksgiving Day - Fourth Thursday and Friday in November


1.2. Work from Home policy, Independent Contractors, at their own expense, shall provide high-speed internet access and a laptop computer with a second monitor (min 22”) as specified by the company solely for exclusive use on company projects. The work space shall be free from background noise from children or pets. No offensive images shall be visible in the background. Attendance and Punctuality at all company remote meetings unless there are specific scheduling conflicts with overlapping company meetings. Independent Contractors may work a flexible 8-hour shift but must be available to be scheduled for meetings with clients from 10 am to 3 pm.


1.3. Independent Contractors take more money home. No benefits, taxes, or insurance are withheld from your take home pay. Only pay the benefits you need, You only pay Worker's Compensation if you hire your own staff. Purchase Major Medical for you and/or your Family, Dental, and Eye from https://www.healthcare.gov/ . The Company may offer Profit Sharing.


1.4. Data Privacy and Security Policy for Independent Contractors is the same as the “Terms of Service” as posted on our website. All company clients, procedures, passwords, and data are confidential and protected by our non-compete clause as posted on our website.


1.5. Technology Usage Policy: Software provided by the Company is to be used exclusively for projects of the Company. Technology resources will be provided as required to perform the work of the Company, including company email, AutoDesk software suite, HAPs software, Photometrics software, Microsoft Office, BlueBeam Revu, and others. 


1.6 Travel and Expense Policy: Guidelines for Independent Contractors travel and expense reimbursement procedures are project specific. In general, travel to and from job sites, meals and overnight accommodations may be included if over four hours travel in one direction. 


1.7 Performance Evaluation: Independent Contractors performance assessments may be conducted in a 360 style, where clients, other departments, managers, and vendors have input on how they respond to your performance on tasks. This evaluation may be used to determine pay raises and bonuses. 


1.8 Independent Contractors are paid on the 1st and 15th of each month via ACH direct deposit to a checking account provided by the Independent Contractor.


Scope of Work

2.1 In order to qualify for Profit Sharing, The Independent Contractor will exclusively perform either Mechanical, Electrical, or Plumbing engineering design services for the Company as described in Our terms of Service as hosted on the Company website. 


2.2 Regardless of Exclusivity, the Independent Contractor shall be bound in Agreement to the most recent Terms of Service as hosted on the Company website. including non-circumvent, our Privacy Policy,


2.3 Exclusive Marketing Agreement . While performing tasks for clients of the Company, the Independent Contractor shall represent themselves as a member of the Company and not represent products or services of any other organization including their own company.


Expected Behavior from all individuals:

3.0. Hold in Strict Confidentiality the Company client list, client projects, trade secrets, or any other Company information that the Independent Contractor may become aware of during the process of performing the engineering design services on behalf of the Company.


3.1. Treat others with respect, kindness, and empathy. Communicate and collaborate in a constructive and positive manner. Be considerate of different viewpoints and experiences.


3.2. Intellectual Property Policy, the Company has all ownership rights to use of intellectual property created by Independent Contractors during employment.


3.3. Dress Code Policy is a dress shirt and tie for virtual meetings with the client. The camera should be on during the entire meeting. An embroidered white dress shirt shall be ordered after 60 days of employment.


3.4. Refrain from using offensive language, derogatory remarks, or any form of harassment or discrimination based on race, ethnicity, gender, sexual orientation, religion, age, disability, or any other protected characteristic.


3.5. Respect the privacy and personal boundaries of others. Your social media accounts are considered part of your professional profile. All communications should be of a professional and respectful tone when interacting on social media. 


3.6. Comply with all applicable laws and regulations.


The following behaviors are strictly prohibited within our organization:

4.1. Harassment: Including but not limited to offensive comments, unwanted advances, intimidation, or any behavior that creates an uncomfortable environment for others.


4.2. Discrimination: Treating individuals unfairly or differently based on their race, ethnicity, gender, sexual orientation, religion, age, disability, or any other protected characteristic.


4.3. Bullying: Engaging in any harmful, aggressive, or repetitive conduct that intends to harm, belittle, or marginalize others.


4.4. Hate Speech: Using language or symbols that promote discrimination, hatred, or violence towards any individual or group.


4.5. Disruptive Behavior: Interfering with events, discussions, or activities in a way that hinders the positive experiences of others.


4.6. Drug and Alcohol use during working hours will not be tolerated.


4.7. Pornography on company computers will not be tolerated.


4.8. Conflict of Interest Policy: in situations where Independent Contractors' personal interests might conflict with the Company's, the Independent Contractors should notify management prior to proceeding to do any work.


4.9. Violation of Laws or Policies: Engaging in any activity that violates local laws or Company policy.


Code of Conduct Policy

5.1 The purpose of this code of conduct is to ensure that all members, participants, and visitors of the Company can work and interact in a respectful, inclusive, and harassment-free environment. This policy applies to all activities, events, communication channels, and spaces associated with our organization.


5.2 This code of conduct applies to all individuals engaged with the Company, including but not limited to members, volunteers, Independent Contractors, event attendees, speakers, sponsors, and any other stakeholders. 


Reporting and Enforcement

If you experience or witness any violations of this code of conduct, please report the incident promptly to the Company. All reports will be handled confidentially, and appropriate actions will be taken, which may include warnings, temporary or permanent suspension, or expulsion.


Consequences

Individuals found in violation of this code of conduct may face consequences ranging from warnings to Termination of this Agreement as stated in the Terms of Service as host on the Company Website.


Miscellaneous

This document reflects our entire and exclusive agreement and supersedes all other agreements regarding this subject matter, whether written or verbal. We reserve the right to change this Agreement at any time by posting a new version on the Service. Your continued use of this Service after the effective date of such amendment will constitute your acceptance of it. Any other amendment to this Agreement shall be in a pen-and-ink signed writing, regardless of any course of conduct or trade practice between us. This electronic document or a hardcopy duplicate in good form shall be considered an original document admissible into evidence unless the document's authenticity is genuinely placed in question. We reserve the right to assign this Agreement or delegate responsibility to any third party, including a party acquiring any of our operating assets or ownership interests. All licenses or permissions granted to you by this Agreement are personal in nature and may not be assigned, sublicensed or otherwise transferred and any attempt to the contrary is void. Any provision of this Agreement found by a court to be illegal or unenforceable shall automatically be deemed conformed to the minimum requirements of law and shall thereupon be given full force and effect as so modified. Waiver of a provision in one instance shall not preclude our enforcement of it on future occasions. Headings are for reference purposes only and have no substantive effect.
